Terms of Service

These Terms of Service ("Terms") govern your access to and use of MyPass LMS, a software-as-a-service product operated by Kprise ("Kprise," "we," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using MyPass LMS, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.

3. Subscription and Billing

MyPass LMS is offered on a subscription basis with active-user pricing. Active users are billed monthly or annually based on the plan selected. Inactive accounts (zero logins in a billing period) are not billed. Fees are non-refundable except as required by law.

We may change pricing with at least 30 days' notice. Continued use after a pricing change constitutes acceptance of the new pricing.

4. Customer Data

You retain all rights to data you upload, create, or store on the Service ("Customer Data"). You grant Kprise a limited license to host, process, and display Customer Data solely as necessary to provide the Service. We do not sell Customer Data and do not use Customer Data to train shared AI models.

5. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe on intellectual property rights; (c) distribute malware or attempt to gain unauthorized access; (d) harass, abuse, or harm others; or (e) interfere with the Service's operation. We may suspend or terminate accounts that violate these terms.

6. Intellectual Property

The Service, including all software, content, designs, and trademarks, is the exclusive property of Kprise and its licensors. You may not copy, modify, distribute, or create derivative works without our written permission, except as expressly permitted by these Terms.

7. Service Availability

We aim for 99.9% uptime on paid plans, with SLA terms detailed in your subscription agreement. Scheduled maintenance is communicated in advance. We are not liable for downtime caused by force majeure events, third-party services, or factors outside our reasonable control.

8. Termination

You may cancel your subscription at any time. Upon termination, your access to the Service ends, and Customer Data is retained for 30 days for export, after which it is deleted. We may terminate accounts for material breach of these Terms with notice, or immediately for severe violations.

9. Disclaimers and Limitations

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Kprise's liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which Kprise is headquartered, without regard to conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by applicable law.

11. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or in-product notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
